Virtual Address for an LLC: What Foreign Owners Need to Know

Every US LLC needs an address, and for a founder living in Athens, Lisbon or Sofia that raises an awkward question fast: which address do I actually put on the forms? The registered agent's? A virtual mailbox? My home address abroad? The answer depends on what the address is for, and mixing them up is one of the most common reasons foreign-owned LLCs get stuck with banks, Stripe or the IRS.

If you are ready to move from research to formation, see how to open llc non resident with professional support.

This guide explains what a virtual address for an LLC is, how it differs from a registered agent address, when a virtual address works, when it gets rejected, and how to set one up properly from abroad.

The three addresses a US LLC can have

Most confusion disappears once you see that an LLC can have up to three different addresses, each with its own job.

Address typeWhat it is forCan it be a virtual address?
Registered agent addressReceiving lawsuits and official state noticesNo, it must be the agent's physical office in the state of formation
Mailing addressWhere the company receives ordinary mailYes
Principal business addressWhere the company is managed from, used by banks and platformsSometimes, depending on who is asking

A registered agent is required by law. A mailing address is practical. A principal business address is where things get delicate, because banks, payment processors and marketplaces all have their own rules about it.

What a virtual address is

A virtual address is a real street address operated by a mail-handling company. Letters and packages sent to it are received, scanned and uploaded to an online dashboard. You can read your mail from anywhere and ask for items to be forwarded, shredded or held.

In the US, most virtual mailbox providers are registered with the United States Postal Service as a Commercial Mail Receiving Agency (CMRA). That registration is what allows them to legally accept mail on your behalf. It also means the address is flagged in USPS databases as a CMRA, and some institutions check that flag.

Virtual address vs PO Box

A PO Box is run by USPS itself, uses a "PO Box" format and cannot receive packages from private carriers like UPS or FedEx. A virtual address looks like a normal street address with a suite number, receives from every carrier and gives you scanning. For a foreign-owned LLC, a virtual address is almost always the better tool.

Why a foreign-owned LLC needs one

  • IRS mail. The IRS sends your EIN confirmation, notices and letters by post. If they go to an address nobody checks, you miss deadlines.
  • Bank correspondence. US banks and fintechs still mail debit cards, security letters and statements.
  • Customer trust. A US address on invoices and your website reads better to American clients than a foreign home address.
  • Privacy. You keep your personal address off public invoices and marketing materials.
  • Platform setup. Some tools require a US address to complete onboarding.

Why you cannot use the registered agent address for everything

Many founders assume the registered agent address doubles as their business address. It usually does not. Registered agents accept legal service of process and state notices. Most of them do not want to receive your bank cards, client packages or marketing mail, and many banks automatically recognise well-known registered agent addresses and reject them as a principal place of business.

If you want the full picture of the agent's role, read our explainer on what a registered agent does. For addresses, the key takeaway is simple: the agent's address keeps you legally compliant, a separate address keeps you operational.

Where a virtual address works and where it gets rejected

This is the part nobody puts in the sales page of a virtual mailbox provider.

Usually accepted

  • As the mailing address on your IRS records and EIN application
  • On invoices, contracts and your website footer
  • As the business address for many US fintech banks that serve non-residents, where they allow it
  • For receiving checks, bank cards and client documents

Often rejected or questioned

  • As a "physical operating address" in some payment processor or marketplace verifications
  • By traditional US banks that want to see a real office or home address
  • For certain seller account checks, which may ask for proof matching your actual location
  • For state registrations that require a physical principal office, depending on the state

Institutions are not trying to catch you out. They have anti-money-laundering rules that ask them to know where a business is really run from. For a foreign-owned LLC, the honest answer is often "from my home country". Many banks and platforms that work with non-residents accept a foreign residential address for the owner and a US virtual address for the company. Being consistent and truthful across every form beats trying to look more American than you are.

How to set up a virtual address from abroad

1. Pick a provider that is a registered CMRA

Look for a provider that explicitly says it is a CMRA, offers mail scanning, forwarding to your country and a clear online dashboard. Check that they accept foreign customers without a US ID.

2. Complete USPS Form 1583

Every CMRA customer must sign USPS Form 1583, which authorises the provider to receive mail for you. It requires two forms of identification and must be notarised. Non-residents typically use an online notary service accepted by their provider, which allows the whole process to be done by video call.

3. Add the LLC as an authorised recipient

Make sure the mailbox is set up for both you and your LLC's exact legal name. Mail addressed to the company should not be returned because the name is not on file.

4. Update your records in the right order

Once the address is active, update it with the IRS (Form 8822-B changes the business mailing address or responsible party), your bank, your payment processors and your website. Do this in one sitting so nothing drifts out of sync.

5. Keep your state records consistent

Your registered agent address stays with the agent. If your state asks for a principal office or mailing address on the annual report, use the address you actually operate with and keep it consistent with what the bank and IRS have.

Virtual address for different business types

Freelancers and consultants. A virtual address is usually enough. You need a place for IRS and bank mail and a professional address on invoices. Clients rarely send physical items.

Agencies. Same as freelancers, plus contracts and occasional checks. Choose a provider that can deposit checks or forward them quickly.

E-commerce and Amazon sellers. The virtual address handles paperwork. Inventory, returns and warehousing need a logistics partner or fulfilment centre, not a mailbox. Our guide on getting a US address for your LLC covers the returns and warehouse side as well.

Holding companies. Very little mail, but the mail that arrives is usually important: tax notices, legal documents, bank letters. Scanning with notifications matters more than forwarding.

Common mistakes with LLC addresses

Putting a home address abroad in the US mailing field and never updating it. The IRS then mails notices overseas, which can take weeks or never arrive.

Using the registered agent address as the bank address. This is one of the quickest ways to get an application paused.

Using different addresses on different forms. A bank, the IRS and a payment processor seeing three unrelated addresses raises flags. Decide which address plays which role and stick to it.

Choosing the cheapest mailbox without scanning. An address that only holds mail is useless when you live on another continent.

Claiming the virtual address is a physical office. If a form asks where the business is operated from, answer honestly. Misrepresentation creates far bigger problems than a slightly longer verification.

What to check before choosing a virtual address provider

  • CMRA status, stated clearly on their site
  • Scan quality and speed, ideally same-day scanning of envelopes with full content scanning on request
  • International forwarding to your country, with tracking
  • Check deposit if your clients still pay by paper check
  • Online notary support for Form 1583, accepted without a US ID
  • Address reputation: some addresses are shared by thousands of companies and are well known to banks, which can lead to extra questions

Our recommendation

For most foreign-owned LLCs the cleanest setup is: a registered agent in the state of formation, a reputable CMRA virtual address as the company's mailing and business address, and your real home address abroad as the owner's personal address. It is transparent, it matches how banks that serve non-residents think, and it keeps IRS mail flowing.

We handle this structure for clients as part of forming a US LLC as a non-resident, so the addresses line up from day one. If you already have an LLC and your address setup feels messy, book a free 15-minute Google Meet and we will help you sort out which address should go where.

Frequently asked questions

Is a virtual address legal for an LLC?

Yes. A virtual address from a registered CMRA is a legal mailing address. It cannot replace the registered agent address, which must be a physical location in the state of formation.

Can I use a virtual address to open a US bank account?

Many fintech banks that serve non-residents accept it as the company address. Traditional banks are stricter. Always check the bank's requirements and be honest about where you operate from.

Do I need a virtual address if I already have a registered agent?

In practice, yes. The registered agent covers legal notices. A virtual address covers IRS mail, bank cards and everything else a working business receives.

Can I receive IRS letters at a virtual address?

Yes. Set it as your business mailing address with the IRS, either on your EIN application or later through Form 8822-B.

What is USPS Form 1583?

It is the authorisation that lets a CMRA receive mail on your behalf. It needs two IDs and a notary signature, which non-residents can usually complete online.

Can Amazon or Stripe reject a virtual address?

They can, depending on the verification step. Some checks want the address where the business is really run. Consistent, truthful information is the safest approach.
