Cypriot Company and Greek Tax Residency: Where the Risk Lies

There's a belief that costs a lot of money every year: that if a company is registered in Cyprus, it's taxed in Cyprus. This isn't true. The country of registration is only one criterion, and usually not the most important one.
If you're considering or have already completed company formation in Cyprus while permanently residing in Greece, this is the article you need to read before anything else.
The Rule: Place of Effective Management
Greek law considers a company a tax resident of Greece when it has its statutory seat, actual seat, or place of effective management in Greece. The third criterion is the dangerous one: even if the company is 100% Cypriot on paper, if the substantive decisions are made in Greece, it's taxed in Greece.
The corresponding Cypriot legislation uses the "management and control" criterion. Both rules converge at the same point: what matters is where decisions are actually made, not where a mailing address exists.
What an Audit Practically Examines
- Where contracts are signed and where board meetings are held
- Who has access to e-banking and from which IP addresses transactions are made
- Where the company's employees and operating expenses are located
- Whether the director in Cyprus has real authority or simply signs whatever is sent to them
- Whether clients, suppliers, and marketing target the Greek market
- Where the ultimate beneficial owner resides and declares income
With the automatic exchange of information (CRS/DAC), bank account and beneficial owner data reaches the Greek authorities anyway. The structure isn't invisible; it's simply either correct or incorrect.
CFC Rules
Even if the Cypriot company passes the tax residency test, there are Controlled Foreign Company (CFC) rules. Simply put, the undistributed profits of a foreign company may be taxed in the name of the Greek shareholder when the following cumulative conditions are met:
- The taxpayer, alone or with related parties, holds over 50% of the company
- The actual tax abroad is significantly lower than the Greek tax
- Over 30% of the income comes from "passive" sources (interest, royalties, dividends, income from related parties)
CFC rules do not apply when the company conducts substantial economic activity with personnel, equipment, and facilities. Again, it all comes down to substance.
What Real Substance Means
It's not a service you buy for 100 euros a month. Real substance means an office with a lease agreement and utility bills, at least one employee or director with real responsibilities living in Cyprus, meeting minutes that actually took place there, and local operating expenses visible in the books.
The cost of this is 15,000–40,000 euros per year. For a company with 500,000 euros in profits, it makes sense. For a company with 80,000 euros in profits, it destroys all tax benefits.
The Alternative for Someone Living in Greece
The main advantage of a US LLC is that it solves the problem from a different angle. A single-member LLC is treated as a disregarded entity: there's no "hidden" corporate profit you're trying to keep out of Greece. You declare the ownership, you declare the distribution, you pay the Greek 5% dividend tax, and the structure stands without needing to pretend it's managed from elsewhere.
